Insider Trading 03 October 2014: Insider Buying Has Been Lackluster Over the Last Eight Weeks

Insider buying increased last week with insiders buying $72.32 million of stock compared to $30.92 million in the week prior. Selling decreased with insiders selling $432.89 million of stock last week compared to $587.59 million in the week prior.

Insider buying has been lackluster over the last eight weeks and with the start of a new quarter, insider transactions will likely remain anemic for the next few weeks. Whether this decline in insider buying combined with an erratic market and increase in volatility marks an intermediate market top remains to be seen.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week dropped to 5.99.In other words, insiders sold almost 6 times as much stock as they purchased. The Sell/Buy ratio this week compares favorably with the prior week, when the ratio stood at 19. We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

4. Civeo Corporation (CVEO): $13.01

Shares of this workforce accommodations provider were acquired by 3 insiders:

  • President and Chief Executive Officer Bradley J. Dodson acquired 24,000 shares, paying $12.86 per share for a total amount of $308,640. Mr. Dodson increased his stake by 8.04% to 322,519 shares with this purchase.
  • Director Gary L. Rosenthal acquired 8,000 shares, paying $12.21 per share for a total amount of $97,680. Mr. Rosenthal increased his stake by 14.57% to 62,919 shares with this purchase.
  • Director Mayank Ashar acquired 8,000 shares, paying $12.81 per share for a total amount of $102,480. Mr. Ashar increased his stake by 147.57% to 13,421 shares with this purchase.

These insider purchases follow a more than 50% plunge in the stock price last week after the company decided not to pursue a REIT conversion and instead decided to move its headquarters to Canada. The company derives 90% of its revenue outside the United States with a specific focus on Canadian oil sands and natural resource rich regions on Australia. The company expects a tax rate of 25 to 26% with this move.

Civeo sports a dividend yield of 4% and trades for just 5 times EBITDA. The company is expecting a weak Q4 and is guiding towards lower revenue and margins in 2015 as well.

After nearly 11 years of 24/7/365 operation, Global Economic Intersection co-founders Steven Hansen and John Lounsbury are retiring. The new owner, a global media company in London, is in the process of completing the set-up of Global Economic Intersection files in their system and publishing platform. The official website ownership transfer took place on 24 August.
