Insider Trading 09 October 2015: Insider Buying Dropped Significantly

Insider buying dropped significantly last week with insiders buying $55.32 million of stock compared to $226.99 million in the week prior. Selling also declined with insiders selling $489.91 million of stock last week compared to $594.85 million in the week prior.

Sell/Buy Ratio: The insider Sell/Buy ratio is calculated by dividing the total insider sales in a given week by total insider purchases that week. The adjusted ratio for last week went up to 8.85. In other words, insiders sold almost 9 times as much stock as they purchased. The Sell/Buy ratio this week compares unfavorably with the prior week, when the ratio stood at 2.62.

We are calculating an adjusted ratio by removing transactions by funds and companies and trying as best as possible only to retain information about insiders and 10% owners who are not funds or companies.

Note: As mentioned in the first post in this series, certain industries have their preferred metrics such as same store sales for retailers, funds from operations (FFO) for REITs and revenue per available room (RevPAR) for hotels that provide a better basis for comparison than simple valuation metrics. However metrics like Price/Earnings, Price/Sales and Enterprise Value/EBITDA included below should provide a good starting point for analyzing the majority of stocks.

Director Marc J. Rowan acquired 234,948 shares of this commercial REIT, paying $10.61 per share for a total amount of $2.49 million. These shares were purchased indirectly through MJR Funding LLC.

Mr. Rowan is a co-founder and Senior Managing Director of the private equity firm Apollo Global Management (APO).

  • President and CEO Norman Miller acquired 20,333 shares, paying $24.89 per share for a total amount of $506,088. Mr. Miller increased his stake by 29.10% to 90,214 shares with this purchase.
  • Director Douglas H. Martin acquired 12,000 shares, paying $24.25 per share for a total amount of $291,000. These shares were purchased indirectly through a Roth IRA.

  • Director Josh Stein acquired 10,000 shares, paying $11.75 per share for a total amount of $117,545. These shares were purchased indirectly through a trust.

4. Yum! Brands, Inc. (YUM): $70.25

Executive Chairman David C. Novak acquired 8,170 shares of this restaurant chain, paying $77.97 per share for a total amount of $637,053. Mr. Novak increased his stake by 2.76% to 303,834 shares with this purchase.

Yum saw its shares drop 18.8% earlier this week before making back some of those losses on Friday. Investors decided to ignore a 12% increase in the quarterly dividend, a 23% increase in operating profits and a 2% increase in same-store sales across their network of brands, which includes Taco Bell, KFC and Pizza Hut.

The Taco Bell division firing on all cylinders with a 4% increase in same-store sales also did not matter much. Neither did the fact that the company opened 376 new restaurants with a majority of them in emerging markets. The primary focus was a big miss on expectations of same-store sales in China, which increased 2% instead of the 9.6% increase analysts were looking for. Earnings of $1 per share also missed expectations of earnings of $1.07 per share.

After nearly 11 years of 24/7/365 operation, Global Economic Intersection co-founders Steven Hansen and John Lounsbury are retiring. The new owner, a global media company in London, is in the process of completing the set-up of Global Economic Intersection files in their system and publishing platform. The official website ownership transfer took place on 24 August.
